These Terms & Conditions ("Terms") govern your access to and use of Nuvia AI (the "Service"), provided by Zephyr Innovations ("we", "our", "us"). By creating an account, purchasing tokens/credits, or installing our WordPress plugin, you agree to these Terms.
1. Service Description
Nuvia AI provides an AI-powered developer assistant for WordPress. The assistant helps you debug PHP errors, fix CSS and layout issues, inspect pages, and get intelligent guidance — all from within your WordPress admin dashboard.
You may access the Service in two ways:
- Bring Your Own Key (BYO): You connect your own OpenAI or Anthropic API key directly. In this mode, usage is billed by your provider, and we do not invoice you for those model calls.
- Cloud Mode (Prepaid Tokens): You purchase token credits from us. Each AI request deducts tokens from your balance. When your balance reaches zero, responses may slow down, degrade, or pause until you add more.
In both modes, you receive the same assistant behavior (chat, page inspection, usage logs, and abuse protection).
2. Accounts and Eligibility
You must create an account to access certain dashboard features, manage usage, and view logs. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You confirm that any information you provide is accurate and that you have the authority to use any payment method you submit.
3. Token Credits & Consumption
"Tokens" or "credits" represent a prepaid balance that can be used to generate AI responses or otherwise process text through Nuvia AI.
- Token usage is automatically logged with timestamp, cost, and basic context (for example, which feature was used).
- Token balances may include a free allocation on signup. Free allocations may expire or reset and may not roll over.
- We may apply rate limits or burst limits to protect against abuse or fraud.
- If your balance reaches zero, we may temporarily pause, limit, or degrade the Service (for example, show "quota exceeded" instead of a full AI answer).
Token credits are not currency, have no cash value, and are not a stored-value account. They are simply a metering unit for Service access.
4. Bring Your Own Key (BYO)
If you connect your own AI provider key, all billing and usage limits of that provider apply to you directly. We do not control their pricing, uptime, policies, or content rules.
You are responsible for keeping your key secure. You must not add a key that you do not have permission to use. You acknowledge that any misuse of your own provider key is not our liability.
We may still enforce rate limits / abuse protections at the Nuvia AI layer to prevent platform abuse even if you are using your own key.
5. Acceptable Use
You agree not to use the Service to publish, generate, or assist in generating content that is illegal, abusive, or violates applicable regulations. You agree not to expose the Service in a way that allows automated abuse.
We reserve the right to suspend or limit access if we reasonably detect abuse, fraud, or security risk.
6. Refunds & Cancellations
Refund and cancellation terms are explained on our Cancellations & Refunds page. In summary: prepaid tokens are generally non-refundable once used. We may consider a refund for duplicate charges, failed transactions, or if the Service was completely unavailable.
7. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from or related to your use of the Service.
Our total liability for any claim related to the Service will not exceed the amount you paid to us in the 30 days before the event that gave rise to the claim. If you are on BYO mode and did not pay us, our liability is limited to the equivalent of USD $1.
If you do not agree to these Terms, you must not use the Service.
